Terms and Conditions

Definitions

  • Agreement: Refers to the contract, project proposal, these terms and conditions, and any other relevant documents.
  • Client Content: All materials provided by the client, including text, images, and other content for use in the deliverables.
  • Deliverables: The work specified in the project proposal and contract, provided by HireScalaDevelopers.com.
  • Tools: Any resources used or developed by HireScalaDevelopers.com to complete the project, including but not limited to software, fonts, web development tools, source code, and design elements.
  • Final Deliverables: The completed work, as accepted by the client.
  • Project: The defined scope and objectives as outlined in the proposal.
  • Services: The full range of services offered by HireScalaDevelopers.com, as detailed in the project documentation.
  • Third-Party Materials: Proprietary materials from external sources, such as stock images and illustrations, utilized in the project.

Development Services

HireScalaDevelopers.com agrees to provide development services in line with the agreed-upon work plan and milestones.

Proposal and Scope of Work

  • The terms of any agreement remain valid for 30 days from the date of receipt. After this period, HireScalaDevelopers.com may update and resubmit the agreement for approval.

Compensation

  • Additional Costs: The quoted project price covers development services only. Any third-party expenses, including software licenses or hosting fees, are billed separately.
  • Expenses: Any out-of-pocket costs incurred will be billed at cost.
  • Fees: The client agrees to pay all specified fees, including applicable taxes.

Payment Terms

  • Invoices: Payment is due within five days of invoice receipt unless otherwise agreed upon.
  • Payment Schedule: Payments must follow the milestones outlined in the proposal.

Scope Changes

  • Change Requests: Any requested modifications to the project scope must be submitted in writing. A response with cost and timeline adjustments will be provided within five business days.
  • Minor Changes: Minor modifications will be billed at standard hourly rates in addition to previously agreed-upon fees.
  • Major Changes: Any changes exceeding 20% of the project budget or timeline require a new proposal for approval before work proceeds.

Project Delays

  • Client Delays: If the client fails to provide necessary materials or approvals on time, project milestones will be adjusted accordingly.
  • HireScalaDevelopers.com Delays: In the event of a delay, the client will be notified via email.
  • Uncontrollable Delays: Delays caused by unforeseen circumstances (e.g., natural disasters, power outages, or regulatory actions) will not constitute a breach of contract and will extend project timelines as necessary.

Evaluation and Acceptance

  • Testing: Deliverables will undergo testing to ensure compliance with industry standards before delivery.
  • Approval Process: The client has seven business days to review and approve each milestone. Any required revisions must be requested in writing and will be addressed within 14 business days.

Client Responsibilities

The client agrees to:

  • Provide all necessary content in an agreed format.
  • Proofread and verify provided materials, as additional corrections may incur extra charges.
  • Make timely decisions regarding third-party approvals.

Accreditation and Promotion

  • Credit: HireScalaDevelopers.com reserves the right to include a credit hyperlink on final deliverables unless explicitly waived in the agreement.
  • Promotion: Completed work may be showcased in HireScalaDevelopers.com’s portfolio and marketing materials.
  • Acknowledgment: Both parties may publicly describe their involvement in the project, subject to mutual approval.

Confidentiality

  • Both parties agree to maintain confidentiality regarding proprietary information shared during the project.
  • Confidentiality obligations do not apply to publicly available information or legally obtained third-party data.

Business Relationships

  • Third-Party Contractors: HireScalaDevelopers.com may engage subcontractors while maintaining responsibility for contractual obligations.
  • Non-Exclusivity: Both parties remain free to engage in business with other entities offering similar services.
  • Independent Contractor: HireScalaDevelopers.com operates as an independent contractor and is not an employee, partner, or agent of the client.

Liability

  • The maximum liability of HireScalaDevelopers.com is limited to the total amount paid by the client for services rendered.
  • All services are provided “as is,” and HireScalaDevelopers.com is not liable for indirect or consequential damages.

Intellectual Property & Usage Rights

  • The client receives a non-exclusive, perpetual license to use the final deliverables.
  • Any modifications or derivative works require prior written consent from HireScalaDevelopers.com.

Support Services

  • Basic post-delivery support will be provided, with additional support available at standard hourly rates.
  • Any third-party modifications void the warranty for technical support.

Modifications to Terms

HireScalaDevelopers.com reserves the right to update these terms at any time. Continued use of the services constitutes acceptance of any revisions.
